1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ShedSync ("we," "us," or "our"). By accessing or using the ShedSync platform, you agree to comply with and be bound by these Terms.
If you do not agree to these Terms, you may not use our services.
2. Description of Service
ShedSync provides an online platform for portable building dealers to:
- Manage and display inventory of portable buildings
- Create and customize dealer websites
- Sync inventory from third-party management systems
- Automatically post inventory to Facebook business pages
- Upload and manage building photos
- Track multiple lot locations
- Manage pricing and building details
3. Account Registration and Eligibility
3.1 Eligibility
To use ShedSync, you must:
- Be at least 18 years of age
- Be authorized to represent a legitimate portable building business
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate and current
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
4. Subscription and Payment
4.1 Subscription Plans
ShedSync operates on a subscription basis. Current pricing:
- Monthly Plan: $99/month
- Payment is processed through Stripe
- Subscriptions automatically renew unless cancelled
4.2 Billing
- You will be billed on a recurring monthly basis
- Payment is due at the start of each billing period
- We reserve the right to change pricing with 30 days notice
- All fees are non-refundable except as required by law
4.3 Cancellation
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
- You will retain access until the end of the paid period
- No refunds for partial months
4.4 Suspension for Non-Payment
If payment fails, we may suspend or terminate your account after reasonable notice. Upon suspension:
- Your public website will be taken offline
- Access to the admin panel will be restricted
- Data will be retained for 30 days for potential recovery
5. Acceptable Use Policy
5.1 Permitted Use
You may use ShedSync only for lawful purposes related to your portable building business.
5.2 Prohibited Activities
You agree NOT to:
- Upload false, misleading, or fraudulent inventory information
- Violate any laws or regulations
- Infringe on intellectual property rights of others
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Use the service to spam, harass, or send unsolicited messages
- Resell or redistribute access to the platform
- Scrape, copy, or reverse engineer the platform
- Upload inappropriate, offensive, or illegal content
- Impersonate another business or person
6. Content and Intellectual Property
6.1 Your Content
You retain ownership of all content you upload (photos, descriptions, business information). By uploading content, you grant us:
- A worldwide, non-exclusive license to use, store, and display your content
- The right to display your content on your public dealer website
- The right to post your content to connected third-party services (e.g., Facebook) when enabled
6.2 Content Responsibility
You represent and warrant that:
- You own or have the rights to all content you upload
- Your content does not violate any third-party rights
- Your content does not violate any laws
- Photos accurately represent the buildings you are selling
6.3 Our Intellectual Property
ShedSync, including its design, features, code, and branding, is owned by us and protected by copyright, trademark, and other laws. You may not:
- Copy, modify, or create derivative works of our platform
- Use our trademarks without permission
- Remove any proprietary notices
6.4 Prohibition on Reverse Engineering
IMPORTANT - PROPRIETARY SOFTWARE PROTECTION:
ShedSync is proprietary software protected by copyright, trade secret, and intellectual property laws. You expressly agree that you will NOT:
- Reverse Engineer: Attempt to derive the source code, underlying ideas, algorithms, file formats, or non-public APIs through reverse engineering, disassembly, or decompilation
- Decompile: Use any tools or processes to decompile, disassemble, or translate the software or any portion thereof
- Circumvent Security: Bypass, disable, or circumvent any security measures, access controls, or technical limitations
- Extract Code: Extract, copy, or redistribute any portion of our source code, object code, or proprietary technology
- Create Competing Services: Use knowledge gained from the Service to create, develop, or assist in creating competing products or services
- Automated Access: Use bots, scrapers, or automated tools to access, extract, or copy data or functionality beyond your normal use
- Modify or Patch: Modify, patch, or create derivative versions of the software
6.5 Enforcement and Remedies
Violation of the reverse engineering prohibition will result in:
- Immediate Termination: Your account and access will be terminated immediately without refund
- Legal Action: We reserve the right to pursue legal remedies including injunctive relief and monetary damages
- Criminal Penalties: Violations may be prosecuted under applicable criminal laws including the Computer Fraud and Abuse Act (CFAA) and Digital Millennium Copyright Act (DMCA)
- Recovery of Costs: You will be liable for all legal fees and costs incurred in enforcing these restrictions
7. Third-Party Integrations
7.1 Facebook Integration
When you connect your Facebook page:
- You authorize us to post on your behalf
- You remain responsible for all posts made through ShedSync
- You must comply with Facebook's Terms of Service and Community Standards
- We are not responsible for Facebook's actions, outages, or policy changes
7.2 Inventory Management Systems
When you connect third-party inventory systems:
- You are responsible for the accuracy of synced data
- We are not responsible for errors in third-party data
- You must have authorization to access those systems
8. Data and Privacy
Your use of ShedSync is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
8.1 Data Backup
- We perform regular backups of our systems
- You are responsible for maintaining your own backups of critical data
- We are not liable for data loss except as required by law
8.2 Data Portability
You may export your inventory data at any time through the admin panel.
9. Service Availability and Modifications
9.1 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for:
- Scheduled maintenance downtime
- Service interruptions beyond our control
- Third-party service failures (Stripe, Facebook, hosting providers)
9.2 Modifications to Service
We reserve the right to:
- Modify, update, or discontinue features with reasonable notice
- Change pricing with 30 days advance notice
- Update these Terms (with notification to users)
10. Termination
10.1 Termination by You
You may terminate your account at any time by:
- Cancelling your subscription in the admin panel
- Contacting support at support@shed-sync.com
10.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- Your account remains unpaid for 30 days
- Required by law or legal process
10.3 Effect of Termination
Upon termination:
- Your public website will be taken offline immediately
- Your data will be deleted after 30 days
- You will lose access to the platform
- Outstanding fees remain due and payable
11. Disclaimers and Limitation of Liability
11.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEDSYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless ShedSync, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your violation of these Terms
- Your violation of any third-party rights
- Your use of the Service
- Content you upload or post
- Your business practices or representations to customers
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the United States and the State of Louisiana, without regard to conflict of law principles.
13.2 Arbitration
Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except that you may assert claims in small claims court if your claims qualify.
13.3 Class Action Waiver
You agree that disputes will be resolved on an individual basis and not as part of a class action or consolidated proceeding.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShedSync.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
14.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet/service provider failures.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last Updated" date
- Sending you an email notification
Your continued use of ShedSync after changes take effect constitutes acceptance of the updated Terms.
By using ShedSync, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
